Introduction

Please read these Terms and Conditions ("Terms") carefully before accessing or using the website at www.ridgesolutions.ca (the "Site") or any services offered by Ridge Solutions ("Ridge Solutions," "we," "us," or "our").

By accessing the Site, submitting an inquiry, booking a discovery call, starting a free trial, or subscribing to any service, you (the "Client") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site or any service.

These Terms constitute a binding legal agreement between the Client and Ridge Solutions. They govern all aspects of the ongoing subscription service relationship, including billing, access rights, ownership, cancellation, and termination. These Terms are not a one-time web design or asset-transfer agreement. The Client is purchasing a recurring subscription to a service package; continued access to the service depends on maintaining an active, fully paid subscription.

Ridge Solutions provides digital services to Canadian small businesses on a subscription basis.

2. Services

───────────────────────

2.1  The Foundation Package

Ridge Solutions offers a month-to-month subscription service called the "Foundation Package." Depending on the configuration agreed upon with the Client, the Foundation Package may include any combination of the following:

-Website setup, hosting, and maintenance;

-CRM-related setup and configuration;

-Marketing automations and workflow configuration;

-Lead follow-up systems;

-Missed-call text-back functionality;

-Review request and management workflows;

-Online booking tools; and

-Related technical support.

 

The specific services included in any given subscription will be as agreed between Ridge Solutions and the Client.

2.2  Service Nature

The Foundation Package is a bundled, ongoing subscription service. The Client is not purchasing a standalone website as a separate, transferable digital asset. The website delivered as part of the Foundation Package is one component of the subscription service. Access to the website, automations, CRM configuration, and all related service components depends on the subscription remaining active and in good standing.

2.3  Service Availability

Ridge Solutions will use commercially reasonable efforts to provide the services. However, services are provided on an "as is" and "as available" basis. Ridge Solutions does not guarantee uninterrupted or error-free service. Scheduled maintenance, platform updates, third-party outages, or other circumstances outside Ridge Solutions' reasonable control may affect service availability from time to time.

3. Eligibility

By subscribing to the Foundation Package or using any service, you represent and warrant that:

-You are at least 18 years of age;

-You have the legal capacity to enter into a binding contract;

-You are using the service for lawful business purposes; and

-If subscribing on behalf of a business entity, you have the authority to bind that entity to these Terms.

 

The services are intended for Canadian businesses. Ridge Solutions makes no representation that the services are appropriate or available for use outside Canada.

4. Free Trial

───────────────────────

Ridge Solutions currently offers a two-week (14-day) free trial at the start of a new subscription.

-The free trial begins on the date the Client's account is activated.

-No charge is applied during the free trial period.

-If the Client does not cancel before the free trial ends, the paid monthly subscription will begin automatically and the Client's payment method on file will be charged.

-Ridge Solutions reserves the right to modify, limit, or discontinue the free trial offer at any time without prior notice.

-A Client is entitled to only one free trial period per account. Ridge Solutions may refuse or revoke a free trial if it reasonably believes the offer is being abused.

5. Subscription and Billing

5.1  Monthly Subscription

After the free trial period, the Client's subscription will be billed on a recurring monthly basis at the rate agreed upon at the time of sign-up, unless modified in writing by Ridge Solutions.

5.2  Payment Processing

All subscription fees are collected through Stripe, a third-party payment processor. By subscribing, the Client authorises Ridge Solutions to charge the Client's payment method on file for recurring monthly subscription fees until the subscription is cancelled.

The Client is responsible for providing and maintaining a valid payment method. Any fees charged by financial institutions, card issuers, or Stripe to the Client are the Client's responsibility.

5.3  Billing Cycle

Subscription fees are charged monthly on the same date each month following the end of the free trial. If a billing date falls on a day that does not exist in a given month, the charge will be processed on the closest preceding business day or as determined by Stripe's standard practices.

5.4  Price Changes

Ridge Solutions may adjust subscription pricing with reasonable advance notice to the Client by email. Continued use of the service after the effective date of a price change constitutes the Client's acceptance of the revised pricing.

6. Failed Payments and Suspension

If a scheduled payment fails for any reason:

-Ridge Solutions may notify the Client by email, text message, or other contact method reasonably available.

-The Client will be responsible to pay all outstanding amounts from the date of the missed payment up to and including the latest billing cycle. 

-Until full payment is successfully collected, Ridge Solutions may suspend or remove the Client's access to the website, automations, CRM-related services, and all other components of the Foundation Package.

-Suspension does not constitute termination of the subscription agreement, and any outstanding subscription fees remain owing during any suspension period.

-If the account is not brought current within 90 days following suspension, Ridge Solutions may terminate the subscription and disable all associated service components in accordance with Section 23.

 

Ridge Solutions is not liable for any loss, damage, or business interruption resulting from a suspension caused by the Client's failure to maintain a valid payment method or to cure a failed payment.

7. Cancellation

───────────────────────

The Client may cancel their subscription at any time by providing written notice to Ridge Solutions before the next scheduled billing date.

-Cancellation stops future recurring charges only. It does not entitle the Client to a refund of amounts already charged (see Section 8 — Refunds).

-Following cancellation, the Client will retain access to the service until the end of the current paid billing period, unless Ridge Solutions determines that earlier termination is warranted.

-Upon the conclusion of the current billing period following cancellation, Ridge Solutions may disable or remove the Client's access to the website, automations, CRM configuration, and all other components of the Foundation Package.

-Cancellation must be communicated in writing to [email protected] or through another method expressly designated by Ridge Solutions.

 

Ridge Solutions may cancel or terminate a Client's subscription in accordance with Section 23 (Termination).

8. Refunds

───────────────────────

All subscription fees paid are non-refundable once the paid subscription period has begun, except:

-Where Ridge Solutions agrees otherwise in writing on a case-by-case basis; or

-Where a refund is required by applicable law.

 

Any exception, goodwill credit, or discretionary adjustment is at Ridge Solutions' sole discretion. The granting of a refund or credit in one instance does not obligate Ridge Solutions to provide a refund or credit in any other instance.

Clients experiencing billing concerns are encouraged to contact Ridge Solutions promptly at [email protected].

9. No Guaranteed Results

Ridge Solutions does not guarantee, warrant, or represent that the use of its services will result in any specific business outcome. Without limiting the generality of the foregoing, Ridge Solutions makes no guarantee regarding:

-Revenue, profit, or financial return;

-Lead volume, lead quality, or conversion rates;

-Search engine rankings or visibility;

-Online review scores or volume;

-Booking rates or appointment volume; and

-Any other marketing, sales, or business performance metric.

 

Results will vary based on factors outside Ridge Solutions' control, including but not limited to: the Client's industry, market conditions, competition, offer quality, pricing strategy, response time, participation, sales process, advertising spend, and the Client's own business practices.

The Client acknowledges that the services are tools and infrastructure intended to support the Client's business, and that Ridge Solutions cannot be responsible for business outcomes.

10. Client Responsibilities

The Client agrees to:

-Provide accurate, complete, and timely information as reasonably requested by Ridge Solutions to deliver the services;

-Supply all required materials in a timely manner, including content, logos, photographs, brand assets, written copy, and credentials or access to relevant accounts, platforms, or domains;

-Review and approve work, proofs, or deliverables within a reasonable time when requested;

-Maintain a valid payment method on file with Stripe; and

-Notify Ridge Solutions promptly of any changes to the Client's contact information, business details, or requirements that may affect service delivery.

 

The Client represents and warrants that:

-All content, materials, brand assets, images, data, and other files the Client provides to Ridge Solutions are owned by the Client or that the Client has obtained all necessary rights, licences, and permissions to use and submit those materials; and

-The Client's use of the services will comply with all applicable laws, regulations, and Ridge Solutions' Terms & Conditions.

 

Ridge Solutions is not responsible for errors, omissions, or deficiencies in the services that result from the Client's failure to fulfil the responsibilities set out in this section.

11. Client Delays and Inactivity

Ridge Solutions' ability to deliver the services depends on the Client's timely co-operation.

-If the Client delays, fails to provide required materials or approvals, or is unresponsive, Ridge Solutions may pause work on the Client's account until the necessary information, content, access, or approval is received.

-Where work is paused due to the Client's inactivity, the subscription and any associated fees will continue to accrue unless and until the subscription is cancelled in accordance with Section 7.

-Ridge Solutions is not responsible for delays in delivery, missed deadlines, or incomplete setups caused by the Client's failure to provide timely co-operation, content, account access, or responses.

-If the Client has been inactive or unresponsive for an extended period, Ridge Solutions may continue reasonable attempts to contact the Client, but may also proceed with available materials, maintain the service in its current state, or take other steps in its reasonable discretion to manage the account.

12. Revisions

The Foundation Package includes up to three (3) website revisions per calendar month.

-Revisions are intended for reasonable, minor updates such as text changes, image swaps, contact information updates, and similar edits.

-Unused revisions in a given calendar month do not roll over to the following month unless Ridge Solutions agrees otherwise in writing.

-Revisions must be requested in writing through the designated support channel.

 

The following are not included in the standard revision allowance and may be refused, deferred, or offered as a separate paid service at Ridge Solutions' discretion:

-Major redesigns or structural overhauls of the website;

-New page builds or significant additions to the site;

-Custom development or programming work;

-Changes to automations, CRM workflows, or integrations that involve substantial reconfiguration; and

-Any request that Ridge Solutions reasonably determines falls outside the scope of a minor revision.

13. Ownership and Intellectual Property

13.1  Ridge Solutions' Property

Ridge Solutions retains full ownership of all intellectual property rights in and to its:

-Templates, frameworks, and design systems;

-Automation logic, workflows, and backend configurations;

-CRM setup, structures, and integration methods;

-Service infrastructure and delivery systems;

-Methods, processes, and proprietary approaches; and

-All pre-existing materials used or incorporated in the delivery of the services.

 

The Client does not acquire ownership of any of the above materials by virtue of the subscription or by virtue of those materials having been customised for the Client's specific use, unless Ridge Solutions expressly agrees to a separate written transfer of ownership.

13.2  Client's Licence

While the subscription remains active and all fees are paid in full, Ridge Solutions grants the Client a limited, non-exclusive, non-transferable licence to use the service components delivered under the Foundation Package for the Client's own business purposes.

This licence is conditional upon the subscription remaining active and fully paid. The licence terminates automatically if the subscription is cancelled, suspended for non-payment, or terminated for any reason. Upon termination of the licence:

-The Client will lose access to the website, automations, CRM configuration, and all related service components hosted or managed by Ridge Solutions; and

-Ridge Solutions may disable, remove, or repurpose those service components.

13.3  Client's Own Materials

The Client retains ownership of their own pre-existing brand assets and raw materials provided to Ridge Solutions, including their business name, logo, photographs, and original source content, subject to any applicable third-party rights. Ridge Solutions acquires no ownership interest in the Client's brand assets simply by incorporating them into the service.

The Client grants Ridge Solutions a limited licence to use, reproduce, and adapt the Client's submitted materials as reasonably required to deliver the services during the subscription period.

14. Domains

───────────────────────

The Client is responsible for purchasing and maintaining their own domain name(s). Ridge Solutions does not purchase, register, or hold domains on behalf of clients as part of the Foundation Package.

Where the services require access to the Client's domain (for example, to connect the website or configure DNS settings), the Client is responsible for granting Ridge Solutions the necessary access. Ridge Solutions is not responsible for domain registration, renewal, expiry, or domain transfer costs.

Because the Client owns their domain independently, the Client retains their domain upon cancellation or termination of the subscription.

15. Third-Party Platforms and Providers

Ridge Solutions may use or integrate third-party tools, platforms, and service providers to deliver the Foundation Package. These may include, without limitation: GoHighLevel, LeadConnector, GoDaddy, Google Workspace, and Stripe.

Ridge Solutions is not responsible for:

-Service outages, downtime, or interruptions caused by third-party platforms;

-Feature changes, deprecations, or pricing changes made by third-party providers;

-Account suspensions, policy enforcement actions, or other account-level decisions made by third-party platforms; or

-The availability, security, or performance of third-party services.

 

The Client acknowledges that the use of certain features of the Foundation Package may be subject to the terms of service and privacy policies of the applicable third-party providers, and that the Client is responsible for reviewing and complying with those terms.

Ridge Solutions will use commercially reasonable efforts to select reputable third-party providers and to manage any interruptions, but cannot guarantee the continuous availability or performance of third-party services.

16. Communications

By subscribing to the Foundation Package or submitting an inquiry, the Client consents to receiving communications from Ridge Solutions related to:

-Account setup, onboarding, and service delivery;

-Subscription billing, payment confirmations, and payment failure notices;

-Service updates, maintenance notices, and important changes to the Terms;

-Requests for content, approvals, or information required to deliver the services; and

-General support and account management.

 

These service-related communications form part of the subscription relationship and are not optional for active subscribers.

Optional marketing communications, promotional offers, and newsletters are separate from service communications. Where required by applicable law, the Client will be given the opportunity to opt-in or opt-out of marketing communications independently.

17. Acceptable Use

The Client agrees not to use the services to:

-Violate any applicable federal, provincial, or local law or regulation;

-Infringe the intellectual property rights of any third party;

-Send unsolicited commercial electronic messages in violation of Canada's Anti-Spam Legislation (CASL) or other applicable anti-spam laws;

-Distribute malware, harmful code, or engage in any fraudulent, deceptive, or misleading activity;

-Harass, defame, or harm any individual or group;

-Collect or process personal information in a manner that violates applicable privacy laws; or

-Engage in any activity that, in Ridge Solutions' reasonable judgment, could damage the reputation, systems, or operations of Ridge Solutions or its providers.

 

Breach of this section may result in immediate suspension or termination of the subscription at Ridge Solutions' discretion.

18. Privacy

Ridge Solutions collects and uses personal information in connection with the services. The collection, use, and disclosure of personal information is governed by Ridge Solutions' Privacy Policy, which is available on the Site and is incorporated into these Terms by reference.

By using the services, the Client consents to the collection and use of their information as described in the Privacy Policy.

19. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

RIDGE SOLUTIONS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RIDGE SOLUTIONS DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET THE CLIENT'S REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (D) THE QUALITY OF ANY SERVICE, INFORMATION, OR OTHER MATERIAL WILL MEET THE CLIENT'S EXPECTATIONS.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

20. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

-RIDGE SOLUTIONS' TOTAL AGGREGATE LIABILITY TO THE CLIENT FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTORY LIABILITY, OR OTHERWISE, WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE CLIENT TO RIDGE SOLUTIONS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

-IN NO EVENT WILL RIDGE SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES, EVEN IF RIDGE SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, the limitations above apply only to the fullest extent permitted by law.

The limitations in this section are a fundamental element of the basis of the bargain between Ridge Solutions and the Client. Without these limitations, Ridge Solutions would not offer the services on the terms set out herein.

21. Indemnification

───────────────────────

The Client agrees to indemnify, defend, and hold harmless Ridge Solutions and its personnel from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

-The Client's breach of these Terms;

-The Client's use of the services in violation of any applicable law or regulation;

-Any materials, content, or data submitted by the Client that infringes the intellectual property rights of

any third party or violates any applicable law;

-The Client's breach of any representation or warranty in these Terms; or

-The Client's negligence or wilful misconduct.

22. Force Majeure

───────────────────────

Ridge Solutions will not be in breach of these Terms or liable for any delay or failure to perform its obligations to the extent that such delay or failure is caused by circumstances beyond Ridge Solutions' reasonable control, including but not limited to: acts of God, natural disasters, fires, floods, storms, pandemics, epidemics, acts of government, infrastructure or telecommunications failures, actions or omissions of third-party providers, labour disputes, or other events of a similar nature (each, a "Force Majeure Event").

Ridge Solutions will take commercially reasonable steps to resume performance as soon as practicable following a Force Majeure Event. If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate the affected subscription upon written notice, with no further liability to either party beyond accrued fees owing as at the date of termination.

23. Termination

23.1  Termination by the Client

The Client may terminate their subscription at any time in accordance with Section 7 (Cancellation).

23.2  Termination by Ridge Solutions

Ridge Solutions may terminate a Client's subscription or access to the services, with or without notice, if:

-The Client breaches any material term of these Terms and, where the breach is capable of remedy, fails to remedy the breach within a reasonable time after receiving written notice;

-The Client fails to bring an account current following suspension for non-payment;

-Ridge Solutions reasonably determines that continued provision of services would expose Ridge Solutions to legal, reputational, or regulatory risk;

-The Client engages in conduct that, in Ridge Solutions' reasonable judgment, violates Section 17 (Acceptable Use); or

-Ridge Solutions decides to discontinue offering the relevant services, in which case Ridge Solutions will provide reasonable advance notice.

23.3  Effect of Termination

Upon termination of the subscription for any reason:

-The Client's access to the website, automations, CRM configuration, and all related service components will be disabled or removed;

-The Client's licence to use Ridge Solutions' service components (Section 13.2) will terminate;

-Any outstanding subscription fees accrued prior to the effective date of termination remain owing and payable; and

-Sections of these Terms that by their nature should survive termination will continue to apply, including Sections 8, 9, 13, 19, 20, 21, and 24.

 

Termination does not affect the Client's ownership of their own domain name (Section 14) or their pre-existing brand assets (Section 13.3).

24. Governing Law and Dispute Resolution

24.1  Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

24.2  Informal Resolution

Before initiating any formal legal proceeding, the Client agrees to first contact Ridge Solutions at [email protected] and provide a written description of the dispute. Ridge Solutions will respond within fifteen (15) business days. The parties will make a genuine, good-faith effort to resolve the dispute informally within thirty (30) days of the initial notice, unless either party reasonably determines that the matter is urgent or that informal resolution is not practicable.

24.3  Court Proceedings

If the parties are unable to resolve the dispute informally, each party submits to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any dispute arising out of or relating to these Terms or the services, except to the extent that applicable law mandates a different forum.

24.4  Small Claims

Nothing in this section prevents either party from pursuing an eligible claim through the Ontario Small Claims Court, where the amount in dispute falls within that court's jurisdiction.

25. Changes to These Terms

Ridge Solutions may update or amend these Terms from time to time. When material changes are made, Ridge Solutions will provide reasonable notice to active subscribers by email or by posting a notice on the Site.

Your continued use of the services after the effective date of any amended Terms constitutes your acceptance of those changes. If you do not agree to the amended Terms, you must cancel your subscription before the effective date of the changes.

The "Last Updated" date at the top of these Terms reflects the date of the most recent revision.

26. General Provisions

26.1  Entire Agreement

These Terms, together with the Privacy Policy and any written service agreements between Ridge Solutions and the Client, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior discussions, representations, or agreements, whether written or oral.

26.2  Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed from the remaining Terms, which will continue in full force and effect.

26.3  Waiver

No failure or delay by Ridge Solutions in exercising any right under these Terms will constitute a waiver of that right. A waiver of any right or remedy is only effective if given in writing and will not be deemed a waiver of any subsequent right or remedy.

26.4  Assignment

The Client may not assign or transfer their rights or obligations under these Terms without Ridge Solutions' prior written consent. Ridge Solutions may assign these Terms, or any rights hereunder, without restriction.

26.5  No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between Ridge Solutions and the Client.
